Must have three 3 years of experience in the job offered or as a Junior Level Associate Attorney, Foreign Legal Consultant, or Summer Associate in general international corporate practice.br br Must have three 3 years of experience withbr Drafting key transaction documents relating to bank financing transactions, receivables and securitization financing transactions and other customary commercial financing transactions; Reviewing and implementing loan financing concepts into commercial terms in the transaction documents for the financing or acquisition of companies; Drafting documentation for domestic and international finance transactions, including commitment letters, term sheets, credit agreements, security agreements, legal opinions, intercreditor agreements, offering documents, control agreements and other customary and customized commercial documents; Drafting specialized documentation for sponsorbacked finance processes relating to the acquisition of both private and public companies; Working in all aspects of execution of finance transactions, including client interaction, legal due diligence, reviewing and negotiating ancillary agreements, project management, coordinating with foreign counsels and other client advisors including subjectmatter specialists, and attending to completion of closing conditions; Ability to identify and mitigate legal and commercial issues for clients and advise clients accordingly; Assisting clients with the documentation and negotiation of customized finance transactions, including intercompany loan arrangements for corporate clients and receivables and securitization financings; Assisting with researching, presenting on and summarizing legal and industry updates for attorneys of all levels within the firm and other knowledge management projects.br br Willingness to travel domestically and globally, including extendedstay domestic or international assignments.
