Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the New York state bar. At least two 2 years of experience as an associate attorney advising on investment funds matters. Experience must include the following Advising institutional and entrepreneurial investment managers, private equity funds and hedge funds on all aspects of structuring, formation and operation, creation of coinvestment vehicles and compliance matters; Managing the formation of investment funds including credit funds, aviation funds, clean energy funds, SPAC funds, secondary funds and funds of one; Advising on securities law and related financial regulatory compliance matters including exemptions under the Securities Act of 1933 and the Investment Company Act of 1940, AMLKYC requirements, federal and state filings, and EU regulations; and Drafting, reviewing, and advising investment fund documents including private placement memoranda PPM and supplements, partnership and company agreements, investment management agreements, side letters, comment memoranda, placement agreements, subscription documents, transfer agreements, term sheets, amendments to partnership agreements, most favored nation election forms, consents, investor letters, guarantees, opinions, resolutions, formation documents and winddown documents.
