Juris Doctorate J.D. or a Masters of Law LLM degree from an accredited law school, or its foreign equivalent, and five 5 years of experience at a corporate global law firm in the job offered or in a related occupation. Must have Licensure in Texas, or alternatively, licensure in another jurisdiction, and eligibility to obtain Texas law license within 12 months. Five 5 years of experience must include Advising and representing clients in connection with corporate finance and securities law, including merger and acquisition transactions, private equity securities offerings and general corporate representation; Closing corporate transactions and coordinating among clients advisors, including other law firms, lenders, financial advisors, accountants and consultants; Drafting and negotiating contracts, disclosure documentation and other legal documents in connection with capital markets and financing transactions; Drafting, negotiating and reviewing documentation relating to mergers and stock and asset acquisitions valued in excess of 50 million and dispositions, fund formation, secured financings and joint venture documents, stockholders agreements, voting agreements, credit agreements and related ancillary documents; and Managing the formation of legal entities and the drafting of corporate governance documentation for public and private company clients.
