Bachelors degree or higher in Accounting, Finance, Economics, Business Administration, or related field willing to accept foreign education equivalent, including threeyear foreign degree plus four years of public accounting experience. Experience must include one year of identifying and evaluating transactions for both financial and strategic buyers; identifying deal breakers in potential transactions with a focus on cash flow and earnings; evaluating targets historical and projected earnings and cash flows, hidden contingencies, commitments, tax exposures, asset quality, and net working capital requirements; reviewing and commenting on financial, accounting, and tax considerations in investment models, bank finance agreements, and public debt offering documents; assisting in structuring purchase price adjustment mechanisms and relevant clauses and covenants in stock purchase agreements; identifying integration and posttransaction transition issues; assisting with divestiture strategy, planning, and execution; proposing and evaluating allocation methodologies for financial statement line items in the course of preparing carveout financial statements; and presenting due diligence findings to clients and thirdparty stakeholders including lenders, brokers, and insurers. Position requires approximately 20 travel.
