CLEARY GOTTLIEB STEEN HAMILTON LLP – $96,262.00/Year

Must include 2 years of experience in each of the following Advising and representing clients and assessing aspects of mergers and acquisitions that have a significant intellectual property andor data privacy and cybersecurity components; Completing intellectual property and data privacy and cybersecurity due diligence and advising clients with respect to risks associated with intellectual property portfolios and data privacy and cybersecurity policies and practices; Drafting, reviewing and negotiating purchase agreements, merger agreements, licenses, intellectual property assignment agreements, supply agreements, employment agreements and transition services agreements; Counseling clients on intellectual property and technology concerns relating to integration and divestitures; Supervising closing and postclosing tasks, such as recording registered intellectual property assignments with foreign and domestic government agencies and obtaining thirdparty consents for assignment of agreements; and Advising and coordinating with other firm practice groups and law firms as relates to IP and data privacy and cybersecurity issues in various areas of the law, including on bankruptcy matters, secured transactions matters, Capital Markets, Real Estate and Tax. Must be admitted to practice law in the State of New York.
