Requires Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the Texas state bar. At least one 1 year of experience working as an associate attorney with a global law firm advising on MA and private equity transactions. Experience must include at least 1 year with the following Advising private equity firms, portfolio companies, and listed companies on MA transactions including mergers, acquisitions, SPACs, and equity financings; managing MA transactions from due diligence through to deal closing, including MA transactions in the energy sector; Drafting and negotiating corporate transaction documents including merger agreements, asset transfer agreements, share exchange agreements, disclosure letters, limited guarantees, equity commitment letters and capital contribution agreements; and Coordinating with opposing counsel and thirdparty advisors in complex MA, equity financings, and private equity transactions.
