Must have work experience in each of the following 1 participate in review and negotiation of the offering circular and the transaction documents on behalf of the US underwriters in connection with Rule 144A RMBS offerings; 2 draft and coordinate EDGAR filings for repurchase request reports for various securitizers, 10K annual filings, and servicer changes; 3 draft the offering circular and the transaction documents in a private placement for the securitization of a portfolio of commercial mortgage loans for clients in the insurance industry; and 4 advise clients on U.S. and European securities laws and regulatory regimes, including the DoddFrank Wall Street Reform and Consumer Protection Act, the EU Capital Requirements Directive and the EU Prospectus Directive.
